These General Terms and Conditions (“Terms”) govern (A) the use of this website and (B) the sale of products and services by GOMM PRODUKT d.o.o. (“GOMM PRODUKT”, “we”, “us”) to business customers (“Customer”, “you”). By using this website, requesting a quote, or placing an order, you accept these Terms.

These Terms are written for business-to-business (B2B) transactions. Where GOMM PRODUKT sells to a consumer, mandatory Croatian and EU consumer-protection rules apply and take precedence over any conflicting provision below.

1. Definitions

• Products — goods manufactured or supplied by GOMM PRODUKT (e.g. truck & trailer platforms, log & wood processing machines, metal machining work, EMC shielding).
• Services — machining, fabrication, and related work performed to specification.
• Order — the Customer’s request to purchase Products or Services, confirmed in writing by GOMM PRODUKT.
• Specification — drawings, 3D models, samples, tolerances, and requirements agreed for a given Order.

2. Scope and precedence

These Terms apply to all quotations, Orders, and contracts unless expressly agreed otherwise in writing. Any conflicting terms proposed by the Customer (e.g. in a purchase order) do not apply unless we accept them in writing. A signed individual contract or written agreement prevails over these Terms where they conflict.

3. Website content

Content on this website is for general information. Product descriptions, images, and indicative capabilities do not constitute a binding offer and may be updated at any time without notice. We make no warranty that the website will be uninterrupted or error-free.

4. Quotations and formation of contract

4.1 Information on this website and any preliminary figures are not a binding offer.

4.2 All Products and Services are made by agreement. A binding contract is formed only when GOMM PRODUKT confirms an Order in writing, or begins production against a written Order.

4.3 A written quotation is valid for [e.g. 30 days] from its date unless stated otherwise, and is subject to confirmation of scope, materials, price, and lead time before production begins.

5. Customer-supplied designs and intellectual property

5.1 Where you supply drawings, 3D models, or specifications, you warrant that you are entitled to use them and that they do not infringe any third-party rights. You indemnify GOMM PRODUKT against claims arising from our use of materials you supply.

5.2 You remain responsible for the correctness and completeness of the Specification you provide. We manufacture to the Specification as supplied and are not liable for defects arising from errors in it.

5.3 Intellectual property in GOMM PRODUKT’s own designs, processes, and know-how remains ours. Intellectual property in Customer-supplied designs remains the Customer’s.

6. Prices and payment

6.1 Prices are as stated in the written quotation, in [EUR], and are [exclusive/inclusive] of VAT. VAT is applied at the applicable rate.

6.2 Payment terms: [e.g. advance payment / 50% on order and 50% before dispatch / net 30 days from invoice].

6.3 Late payments accrue statutory default interest under Croatian law. We may suspend delivery or production while payments are overdue.

7. Delivery

Delivery terms, areas, carriage, risk transfer, and Incoterms are set out in our Delivery / Shipping Information, which forms part of these Terms. Delivery dates are estimates unless expressly agreed as binding.

8. Retention of title

Products remain the property of GOMM PRODUKT until payment has been received in full. Risk passes to the Customer on delivery in accordance with the agreed Incoterm.

9. Inspection and acceptance

The Customer must inspect Products on receipt and notify any visible defects or shortages in writing without undue delay, and in any case within [e.g. 8 days] of delivery. Hidden defects must be reported without undue delay after discovery. Warranty terms are set out in Document Warranty.

10. Warranty

Warranty is provided in accordance with our Warranty, which forms part of these Terms.

11. Limitation of liability

11.1 To the maximum extent permitted by law, GOMM PRODUKT’s total liability arising out of or in connection with any Order is limited to the net price paid for the Products or Services concerned.

11.2 We are not liable for indirect, consequential, or economic loss, including loss of profit, production, or contracts, except where liability cannot be excluded under mandatory law (including for intent, gross negligence, or personal injury).

This clause is the highest-risk section. Have a lawyer confirm the cap and exclusions are enforceable under Croatian law for your risk profile and insurance.

12. Force majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control (e.g. natural disasters, war, strikes, material shortages, energy disruption, transport failures, or acts of authorities). Affected obligations are suspended for the duration of the event.

13. Confidentiality

Each party will keep confidential the technical and commercial information disclosed by the other in connection with an Order and use it only for performing the contract.

14. Governing law and jurisdiction

These Terms and any dispute arising from them are governed by the laws of the Republic of Croatia, excluding its conflict-of-law rules. The parties agree to the exclusive jurisdiction of the competent court in [Kutina / Sisak], Croatia.

15. Severability and amendments

If any provision is found invalid, the remaining provisions stay in effect. We may amend these Terms; the version in force at the time of your Order applies.
